Applies to All Subscription Services and Custom AI Products by ShareTech Solutions

These Terms and Conditions (“Agreement”) govern the sale and provision of subscription services and custom AI development by ShareTech Solutions (“Company,” “we,” “our,” or “us”) to any client or subscriber (“Client,” “you,” or “your”). By purchasing services from ShareTech Solutions, you agree to be bound by the following terms in accordance with the laws of the Commonwealth of Virginia and applicable U.S. state and federal law.

1. Custom Development & Hourly Labor Rate

All setup, configuration, design, and development work performed by ShareTech Solutions is billed at $300 per hour. This labor begins immediately upon purchase of any subscription service and constitutes custom professional services that are non-refundable.

If setup or configuration fees are waived as part of your agreement, you expressly commit to a minimum one-year (12-month) subscription term. Early termination of services prior to the one-year term will require payment in full for the waived setup fees.

2. Ongoing Service & Usage Fees

Your monthly subscription covers continued access to ShareTech Hub™, VoiceIQ™, and other automation services, including:

Access to automation platforms and hosted systems
Ongoing monitoring, updates, and adjustments
Routine maintenance and technical support

In addition to subscription fees, usage-based charges apply for communication and transactional services, including but not limited to:

AI voice automation minutes (currently billed at $0.21 per minute)
Phone call connections, SMS, and other AI agent communication fees
Small transaction-based fees for message delivery, API calls, or third-party integrations

Clients are required to maintain an active payment method (“wallet on file”) to fund these ancillary usage-based fees. Failure to maintain sufficient funds may result in suspension of services.

Additional service modifications or expansions beyond the original scope may incur separate charges.

3. Chargeback Waiver and Payment Authorization

By agreeing to these Terms, you acknowledge and accept that:

You are purchasing subscription-based services combined with custom development work.
These services constitute non-tangible digital products and intellectual property.
All payments are final. Chargebacks, payment reversals, or disputes initiated through your credit card provider or payment processor are strictly prohibited.
In the event of an attempted chargeback, this Agreement, your payment records, and evidence of services rendered will be submitted to the credit card issuer as proof of valid and authorized charges.

4. Intellectual Property Rights

All software code, AI frameworks, automation scripts, voice prompts, designs, and intellectual property developed or provided by ShareTech Solutions remain the exclusive property of ShareTech Solutions.

Clients receive a limited, non-transferable license to use such deliverables strictly within their organization during the term of their subscription.

Duplication, resale, reverse engineering, or distribution without express written consent from ShareTech Solutions is prohibited.

5. Data Privacy & Security

We maintain commercially reasonable safeguards to protect sensitive information, including encryption, two-factor authentication, and secure hosting infrastructure. However, you acknowledge that no system is entirely immune from risks, and ShareTech Solutions is not liable for breaches outside its reasonable control.

5A. Waiver of Liability

While ShareTech Solutions follows industry-standard security practices and provides tools that are compliant with modern cybersecurity standards, the Client acknowledges that no system is completely immune from risks. ShareTech Solutions shall not be held liable for any security breach, data loss, unauthorized access, or system compromise arising from circumstances beyond our reasonable control, including but not limited to Client actions, negligence, misuse of the system, or third-party vulnerabilities. The Client assumes full responsibility for the use of the services within their environment.

6. Cancellation & Termination

Monthly subscription services may be canceled with 30 days’ prior written notice.
Development fees, setup costs, and past subscription payments are non-refundable.
If setup/configuration fees were waived, you agree to a minimum one-year subscription commitment. Early termination requires reimbursement of all waived fees.
Upon termination, all licenses granted under this Agreement will automatically end, and access to hosted systems will be revoked.

7. Client Responsibilities

You agree to provide timely approvals, access credentials, and content required for implementation. Delays caused by Client do not suspend billing obligations.

You are responsible for maintaining an active payment method on file to fund both subscription and usage-based fees.

8. Collections, Legal Fees & Enforcement

In the event of non-payment, breach of this Agreement, or dispute requiring legal enforcement, the Client agrees to reimburse ShareTech Solutions for all reasonable attorney fees, court costs, and collection expenses incurred in enforcing payment or defending this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Virginia.

10. Acceptance of Terms

By engaging ShareTech Solutions, purchasing any subscription, or using our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
